Terms of Service
Last updated: October 11, 2026
These terms apply when you use the Pathmarker platform or this website. Pathmarker is provided by Pathmarker Technologies Inc. ("Pathmarker", "we", "us"). By using Pathmarker, you agree to these terms.
If your clinic has a separate written agreement with Pathmarker, that agreement applies to the clinic, and these terms apply to individual users where the agreement does not cover something. [TODO: confirm order of precedence with counsel.]
1. What Pathmarker is
Pathmarker is software that clinics use to run their practice: scheduling, records, care plans, messaging, and tools that help practitioners draft notes and review information. Members use it through their clinic.
Pathmarker is not a health care provider. We do not diagnose, treat or give medical advice. All clinical decisions are made by your clinic's practitioners.
2. Not for emergencies
Do not use Pathmarker for urgent or emergency needs. Messages may not be read right away. If you think you may have a medical emergency, call 911 or go to the nearest emergency department.
3. Accounts
- Keep your sign-in details private and do not share your account.
- Give accurate information, and keep it up to date.
- Tell your clinic or us right away if you think someone else has used your account.
- You are responsible for activity under your account.
Clinics create and manage accounts for their own staff and members, and can remove access.
4. Clinic responsibilities
A clinic that uses Pathmarker is responsible for:
- Deciding what information it collects about its members, and having the right to collect and use it.
- Getting any consent its members need to give, including for visit recordings and AI-assisted features.
- Making sure its practitioners are appropriately licensed and work within their scope of practice.
- Deciding which staff can access which information, and removing access when someone leaves.
- Meeting its own professional, record-keeping and privacy obligations.
5. AI-generated content
Some Pathmarker features use AI. AI output can be incomplete or wrong.
- Practitioner drafts. When AI drafts content such as visit notes or summaries, the draft is a starting point. A practitioner must review, correct and approve it before relying on it or adding it to a record. The practitioner remains responsible for the final content.
- Member answers. If a clinic turns on AI answers for members, those answers are information drawn from the member's own record, not medical advice, and are not reviewed by a practitioner first. Talk to your practitioner before making health decisions.
6. Acceptable use
You must not:
- Use Pathmarker for anything unlawful, or to harm anyone.
- Access information you are not authorised to see, or try to get around security or access controls.
- Upload malicious code, or disrupt or overload the service.
- Copy, reverse engineer or resell the platform, except where the law allows.
- Use Pathmarker to send spam or unsolicited messages.
- Enter another person's information without the right to do so.
We may suspend access that breaks these rules or puts other users at risk.
7. Connected services
You can choose to connect other services, such as Google Calendar, Zoom, Oura, Strava or Fullscript. Those services have their own terms and privacy policies, and we are not responsible for them. You can disconnect them at any time.
8. Your content
Clinics and members keep their rights in the information they put into Pathmarker. You give us permission to store and process it only as needed to provide the service, as described in our Privacy Policy.
9. Availability and changes
We work to keep Pathmarker available and reliable, but we do not promise it will always be available or free of errors. We may need to pause it for maintenance or to fix problems. We may change or improve features over time, and will tell clinics in advance about changes that materially reduce what the service does. [TODO: service-level commitments, if any, belong in the clinic agreement.]
10. Ending your use
You can stop using Pathmarker at any time. Your clinic can end your access. We may suspend or end access for a breach of these terms. What happens to a clinic's data when it leaves Pathmarker is set out in the clinic's agreement and our Privacy Policy. [TODO: data export and return on termination.]
11. Disclaimers
To the extent the law allows, Pathmarker is provided "as is". We do not give warranties that it is fit for a particular purpose, beyond those the law does not allow us to exclude.
12. Limits on our liability
To the extent the law allows, Pathmarker is not liable for indirect or consequential losses, or for loss of profits, revenue or data, arising from use of the service. Our total liability for any claim is limited to [TODO: liability cap, for counsel]. Nothing in these terms limits liability that cannot be limited by law.
13. Governing law
[TODO: governing law and venue, for counsel.]
14. Changes to these terms
We will update the date at the top of this page when we change these terms. If a change is material, we will tell clinics and account holders before it takes effect. Continuing to use Pathmarker after a change takes effect means you accept the updated terms.
